Terms of Service for Spawn

Welcome to Spawn (the "Platform"). These Terms of Service ("Terms") govern your access to and use of our website, application, and competitive tournament services. By registering an account or participating in any event on the Platform, you agree to be bound by these Terms.


1.

Eligibility to Play

To access the Platform and participate in our tournaments, you must meet the following criteria:

  • Age Requirement: You must be at least 13 years of age. If you are between the ages of 13 and the age of legal majority in your jurisdiction, you must have the permission of a parent or legal guardian to use the Platform and participate in events.
  • Account Standing: You must possess active, in-good-standing accounts for the third-party games and platforms (e.g., Steam, Epic Games, Riot Games) required to participate in specific tournaments.

Legal Compliance and Real-Money Gaming

Our Platform offers skill-based competitive gaming, which may include entry fees and cash prize pools.

  • User Responsibility: Laws regarding skill-based gaming for money vary significantly by region. You are solely responsible for ensuring that participating in skill-based gaming for money is legal in your local city, state, province, or country.
  • Winnings and Taxes: Spawn is not responsible for your local tax liabilities. Users are solely responsible for reporting and paying any applicable taxes on tournament winnings.
3.

Fair Play and Anti-Cheat Requirements

Maintaining competitive integrity is our highest priority. By competing on the Platform, you agree strictly to the following:

  • Native Game Anti-Cheat: Spawn relies on the official, proprietary anti-cheat software of the specific games being played (for example, Riot Vanguard for Valorant or Easy Anti-Cheat for other titles). You must have the required native anti-cheat software active and properly functioning while competing in any tournament on our Platform.
  • Bans and Disqualifications: If your gaming account is flagged, suspended, or banned by the official game developer's anti-cheat system at any time, you will immediately be disqualified from all active tournaments on Spawn.
  • Zero Tolerance Policy: We reserve the right to permanently ban your Spawn account, forfeit any pending prize payouts, and prohibit future use of the Platform if we determine you have engaged in cheating, exploiting bugs, account sharing, or match-fixing.
4.

Code of Conduct: The Strike System

To ensure a safe and competitive environment, we actively monitor the platform via an internal dashboard for toxic behavior, harassment, and scams.

  • Issuing Strikes: Violations of our community guidelines will result in disciplinary action under our Strike System.
  • Penalties: If an account is issued a strike, the specific penalty — ranging from temporary suspensions to permanent bans and forfeiture of winnings — will be determined at the sole discretion of our moderation team based on the severity of the offense.
5.

Match Disputes and Resolution

We understand that competitive disagreements happen. If a conflict arises regarding match results (for example, if a team alleges that a tournament organizer has manipulated the final scores), users must submit an official dispute ticket.

  • Handling: All disputes will be assigned to and investigated by a dedicated Account Manager or Care Representative.
  • Resolution Timeframe: We are committed to maintaining tournament momentum. A final, binding decision regarding any match dispute will be reached and communicated to the involved parties within 24–48 hours of the dispute being opened.

Prize Pool Transfers and Taxes

  • Transfer Timeline: Once tournament results are finalized and cleared of any disputes, the prize pool will be transferred to the winning team's designated Mastercard or credit card within 2 to 7 business days.
  • Taxes and Transaction Fees: All transactions are subject to the tax and fee structure of our local third-party payment processor. Our company does not cover, absorb, or pay for these transaction taxes or fees. Any applicable taxes or processing fees will be the sole responsibility of the user and may be deducted directly from the final payout amount.
7.

Intellectual Property

Spawn does not claim any ownership over the third-party video games or boardgames played in our tournaments. All game titles, logos, characters, and assets belong to their respective developers and publishers. However, the code, design, branding, and original content of the Spawn Platform are the exclusive property of our company.

8.

Limitation of Liability (Technical Failures)

Competitive gaming relies on technology that can sometimes fail. By using this platform, you acknowledge and agree that:

  • We are not liable for any indirect, incidental, or consequential damages resulting from technical issues.
  • If the application crashes during a critical tournament moment, or if a third-party game server (e.g., Riot Games, Epic Games) goes offline or experiences lag, users cannot sue or hold Spawn legally responsible for "lost potential winnings," missed opportunities, or lost entry fees. You compete acknowledging the inherent risks of online connectivity.
9.

Governing Law and Legal Disputes (Iraqi Law)

These Terms of Service, and any disputes arising out of or related to your use of the platform, shall be governed by and construed strictly in accordance with the laws of the Republic of Iraq, including but not limited to the Iraqi Civil Code No. 40 of 1951 and the Iraqi Civil Procedure Code No. 83 of 1969.

  • Jurisdiction: Any legal claim, lawsuit, or formal dispute that cannot be resolved amicably through our internal support channels shall be subject to the exclusive jurisdiction of the competent commercial or civil courts located in Baghdad, Iraq. By using this platform, you consent to the personal jurisdiction of these courts and waive any objections regarding venue or inconvenient forum.

Changes to the Terms

We reserve the right to modify these Terms at any time. We will notify users of any significant changes by updating the "Effective Date" at the top of this document and providing a notice on the Platform. Continued use of the Platform after changes are made constitutes your acceptance of the revised Terms.
